Upset Price Contract (Company-friendly, Loan-out)
This template is built to be used when a studio or production company engages a Writers Guild of America (WGA) union writer to provide TV writing services or optioning or acquiring the writer's literary material, and the studio or production company also wants to acquire certain rights that WGA Simple contract Article 16.B. may otherwise reserve to the writer. This is also known as a separated rights or separation of rights contract. It outlines the rights of both parties should the writer be entitled to TV separated rights, which include reserved rights and television rights (including sequel rights) that the writer may reacquire or that may revert to the writer, in all cases relating to the writer's material (format, bible, story only, or story and teleplay) and the related TV, streaming, or other new media program (such as a pilot, episodic series, or TV movie (MOW)).
